TERMS OF SERVICE
1. WHO WE ARE
These Terms of Service (the "Terms") govern your access to and use of The Confluence Show, the website at theconfluence.show, the live streams, the member room, and all related content and features (together, the "Service"). The Service is owned and operated by TRUDO TECHNOLOGIES LTD ("TRUDO", "we", "us"), a private limited company. Registered office: Victoria House, Victoria, Mahé, Republic of Seychelles. By creating an account, purchasing a membership, or otherwise using the Service, you agree to be bound by these Terms, our Privacy Policy and our Refunds Policy. If you do not agree, do not use the Service.
2. WHAT THE SERVICE IS
The Service is an educational, entertainment and information product: a live-streamed market show hosted by an artificial-intelligence system that analyses financial markets using multiple methodologies (including price action, order flow, volume profiling, liquidity and positioning analysis) and publishes analytical scenarios, levels, statistics and commentary.
All output of the Service, spoken, written, drawn on charts, or delivered as alerts, is generic market analysis produced for educational purposes. It is not tailored to any person's circumstances.
3. NO INVESTMENT ADVICE · IMPORTANT
THE SERVICE DOES NOT PROVIDE INVESTMENT ADVICE, PERSONAL RECOMMENDATIONS, PORTFOLIO MANAGEMENT, BROKERAGE, ORDER EXECUTION OR ANY OTHER REGULATED INVESTMENT SERVICE. Nothing in the Service constitutes an offer, solicitation, inducement or recommendation to buy, sell or hold any financial instrument, digital asset or product.
Analytical scenarios, levels, invalidations, statistics and the confluence meter are descriptive analytics about market conditions, not instructions. Any decision to trade, and all sizing, risk management and execution, is made solely by you, at your own risk. TRUDO is not a broker, dealer, exchange, investment adviser or fiduciary, and is not licensed or authorised to provide regulated investment services in any jurisdiction.
If you require investment advice, consult a professional who is licensed in your jurisdiction. You should never trade with money you cannot afford to lose.
4. RISK DISCLOSURE
Trading and investing in financial instruments and digital assets involves substantial risk of loss. Prices can move rapidly; leveraged products can result in losses that exceed your deposited funds. Digital-asset markets operate 24/7, may be volatile and illiquid, and are subject to evolving regulation.
Past performance, including any published statistics of the Service such as scenario outcomes or historical hold rates, is not indicative of future results. Statistics are measurements of past analytical output, not a promise of accuracy, profitability or fitness for any purpose.
5. ELIGIBILITY & ACCOUNTS
You must be at least 18 years old (or the age of majority where you live, if higher) and legally capable of entering into these Terms. You must not use the Service where doing so is prohibited by applicable law.
You agree to provide accurate registration information, keep your credentials confidential, and notify us promptly of any unauthorised use. One account per person; accounts are personal and non-transferable. You are responsible for all activity under your account.
6. MEMBERSHIPS, PRICING & BILLING
Paid memberships are priced per asset: you select the exchange and the specific assets you want covered, and the subscription fee is calculated from the number of selected assets, the applicable per-asset rate (including any multi-asset discount) and your billing cycle (monthly or annual). The rates shown at checkout apply.
Subscriptions renew automatically at the end of each billing period until cancelled. Adding assets mid-cycle takes effect immediately and may be charged pro-rata; removing assets takes effect at the next renewal. We may change prices with at least 30 days' notice effective from your next renewal; where we have advertised a founding-price lock, your rate will not increase while your subscription remains continuously active.
Payments are processed by third-party payment providers (e.g. Stripe). We do not store full card details. Taxes may be added where required by law. If a payment fails, we may suspend access until payment is completed.
7. FREE TIER & THIRD-PARTY PLATFORMS
The free tier is a delayed rebroadcast of the show (approximately 20 minutes behind the live desk) distributed on third-party platforms such as YouTube, Twitch and Kick. Your use of those platforms is governed by their own terms and policies; we are not responsible for their availability, moderation or data practices.
We may modify, interrupt or discontinue the free tier at any time without liability.
8. CANCELLATION
You may cancel your membership at any time from your dashboard. Cancellation takes effect at the end of the current billing period; you keep access until then. Refunds are governed by our Refunds Policy.
9. ACCEPTABLE USE
You agree not to: (a) record, scrape, redistribute, rebroadcast, resell or publicly share the live member stream, the analysis feed, alerts or any member-only content; (b) use bots, scripts or automated means to access the Service or extract data; (c) reverse engineer, decompile or attempt to derive the models, signal engine, prompts or other proprietary components; (d) use the Service to develop a competing product; (e) post unlawful, abusive, defamatory or spam content in chat or Q&A; (f) impersonate others or misrepresent your affiliation; (g) interfere with the operation or security of the Service.
We may moderate, remove content, throttle, suspend or terminate accounts that violate this section, with or without notice.
10. INTELLECTUAL PROPERTY
The Service, including the AI host, models, signal engine, methodologies, software, design, branding, graphics, text, audio and video, is owned by TRUDO or its licensors and is protected by intellectual-property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to access and view the Service for your own non-commercial use.
You may share short excerpts of the free, public broadcast with attribution, unless we ask you to stop. All other use requires our prior written consent. Feedback you send us may be used without restriction or compensation.
Chat messages and questions you submit remain yours, but you grant TRUDO a worldwide, royalty-free licence to display, process, moderate, and reproduce them within the Service (including on stream) and to improve the Service.
11. MARKET DATA & THIRD-PARTY CONTENT
Market data is sourced from third-party venues and exchanges (e.g. Binance) and may be delayed, incomplete or inaccurate. Analysis is computed per exchange; figures may differ from other venues. We do not guarantee the accuracy, completeness or timeliness of any data or analysis.
The Service may reference or link to third-party sites, tools and partners. We are not responsible for their content or services. Partner relationships never influence the analysis; where we receive a commission or benefit from a partner, this does not affect the price you pay.
12. AVAILABILITY & CHANGES
The Service is provided on an "as available" basis. We do not guarantee uninterrupted or error-free operation; streams may be delayed, degraded or interrupted by maintenance, outages, third-party failures or events beyond our control. We may modify features, desks, assets, or the schedule at any time. Material adverse changes to a paid membership will be notified, and your remedy is set out in the Refunds Policy.
13. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT ANY ANALYSIS, SCENARIO, STATISTIC OR ALERT WILL BE ACCURATE, COMPLETE, TIMELY OR PROFITABLE.
14. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) TRUDO SHALL NOT BE LIABLE FOR ANY TRADING OR INVESTMENT LOSSES, LOSS OF PROFITS, LOSS OF DATA, OR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THE SERVICE; AND (B) TRUDO'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS IN ANY 12-MONTH PERIOD SHALL NOT EXCEED THE FEES YOU PAID TO US IN THAT PERIOD.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including for death or personal injury caused by negligence, or for fraud.
15. INDEMNITY
You agree to indemnify and hold harmless TRUDO, its directors, employees and agents from claims, damages and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Service, or your violation of law or third-party rights.
16. SUSPENSION & TERMINATION
We may suspend or terminate your access immediately for material breach (including acceptable-use violations, chargeback abuse, or non-payment), where required by law, or where continued provision poses a security or legal risk. On termination, your licence ends; sections that by their nature survive (including 3, 4, 10, 13-15, 17, 20, 23, 24 and 26) survive.
17. AI-GENERATED CONTENT & NO RELIANCE
The Service's analysis, commentary, voice narration, chart annotations, scenarios, statistics and answers are generated by artificial-intelligence systems operating on live market data. AI output is probabilistic by nature: it can be incomplete, delayed, mislabelled or wrong; it may misinterpret unusual market conditions, gapped data or exchange outages; and it may not reflect events occurring after the moment of computation. Real-time human review of each individual statement is not guaranteed.
You agree not to rely on any output of the Service as the basis for any trading or investment decision. Published statistics (including scenario outcomes and historical hold rates) measure past analytical output only: they are not audited, are not a track record of trading results, do not account for execution, fees, slippage or liquidity, and are not a representation that future output will be similar.
18. ALERTS & NOTIFICATIONS
Alerts (level touches, confluence thresholds, event triggers) are provided on a best-effort basis. Delivery depends on third-party networks, platforms, app stores and your device settings; alerts may be delayed, deduplicated, throttled or not delivered at all. Alerts are informational only, they are not advice, not a signal and not an instruction to act, and must not be used as a substitute for your own monitoring and risk controls.
19. BETA & EXPERIMENTAL FEATURES
We may designate features (including additional desks, exchanges, languages, or voice modes) as beta, preview or experimental. Such features are provided as-is, may be modified, suspended or withdrawn at any time without notice, may be subject to additional terms, and may be excluded from any service-level commitment. Feedback on beta features may be used by us without restriction.
20. SANCTIONS, EXPORT CONTROLS & RESTRICTED JURISDICTIONS
You represent and warrant that you are not located in, organised under the laws of, or ordinarily resident in a jurisdiction subject to comprehensive sanctions or embargoes, and that you are not a designated or restricted person on any applicable sanctions list (including UN, UK, EU and US OFAC lists). We may restrict, suspend or terminate access without liability where we reasonably believe that continued provision of the Service would breach applicable sanctions, export-control or similar laws.
The Service is not directed at any jurisdiction where its provision would require a licence, registration or authorisation that we do not hold. You are solely responsible for compliance with the laws of your jurisdiction, including any tax obligations arising from your own trading activity.
21. NOTICES & COMPLAINTS
We may give notices by email to your registered address, by in-product message, or by posting on the site; notices are deemed received on transmission. You may give notice to legal@theconfluence.show. Complaints are handled first by our support team; unresolved complaints may be escalated to legal@theconfluence.show and will be acknowledged within 14 days.
If you are a consumer in the EU, the European Commission's Online Dispute Resolution platform is available at ec.europa.eu/odr. We are not obliged to participate in alternative dispute resolution before a consumer arbitration body and do not commit to do so, except where required by mandatory law.
22. FORCE MAJEURE & MISCELLANEOUS
We are not liable for any delay or failure caused by events beyond our reasonable control, including exchange or market-data outages, cloud, CDN or network failures, denial-of-service attacks, labour disputes, war, terrorism, civil unrest, natural disasters, epidemics, or acts of governmental authorities.
Severability: if any provision is held invalid, the remainder remains in effect and the invalid provision is replaced by a valid one closest to its intent. No waiver: our failure to enforce a provision is not a waiver of it. Assignment: we may assign these Terms in connection with a merger, acquisition or sale of assets; you may not assign without our prior written consent. Entire agreement: these Terms, the Privacy Policy and the Refunds Policy are the entire agreement between you and TRUDO regarding the Service. Language: the English version of these Terms governs; translations are for convenience only. Headings are for reference only. There are no third-party beneficiaries.
22B. FREE TRIAL TERMS
We may offer a 7-day free trial of the live room covering one asset. Activation requires verification of a valid email address and mobile telephone number, and registration of a valid payment card with Stripe, our payment processor. No amount is charged during the trial. Unless you cancel before the end of day 7, the trial converts into a paid monthly membership at the price disclosed at checkout; you may cancel in one click at any time before then and no amount will be charged.
One trial is permitted per person and per household. We may refuse, suspend, shorten or terminate a trial, and may withdraw the offer entirely on a prospective basis, where we reasonably suspect multiple accounts, disposable or virtual telephone numbers, automated registration or any other circumvention. Trial access is provided 'as is' and, to the fullest extent permitted by law, without the service-availability commitments applicable to paid memberships.
Where the trial converts to a paid membership, EU and UK consumers retain their statutory 14-day withdrawal right in respect of that paid contract, as described in the Refunds Policy. A first payment taken because a trial was not cancelled in time is refundable in full if you request it within 14 days and tell us you did not intend to continue.
22C. NO SIGNALS, NO ADVICE, NO PORTFOLIO SERVICES
The Service consists exclusively of educational media: general commentary describing observable market conditions and the reasoning behind them, addressed to a general audience. It is expressly NOT, and must not be construed as, (a) investment advice or a personal recommendation, (b) a trading-signal, copy-trading, mirror-trading or alert-to-act service, (c) portfolio management or reception and transmission of orders, (d) investment research prepared in accordance with regulatory independence requirements, (e) an offer, inducement or solicitation to buy, sell or subscribe for any financial instrument or crypto-asset, or (f) advice on the merits of any crypto-asset, issuer or trading venue.
We do not communicate entry prices, exit prices, take-profit levels, stop-loss levels, position sizes or leverage to be used, and we do not tell any user what to do. Where the Service describes a possible market scenario, it is a description of conditions and their statistically measured historical behaviour, together with the conditions that would falsify it, published for educational purposes only.
We do not assess suitability or appropriateness for any user, do not know your financial situation, objectives, knowledge or experience, and do not take them into account in any way. No content is tailored to any individual. You are solely responsible for your own decisions and for obtaining independent, licensed advice where appropriate.
TRUDO TECHNOLOGIES LTD is not authorised or registered as an investment firm, crypto-asset service provider, broker, dealer, exchange, fund manager, investment adviser or financial-signal provider in any jurisdiction, and does not carry out any activity requiring such authorisation. We hold no client money or crypto-assets, provide no custody or wallet services, operate no trading venue, connect to no user trading accounts, and execute, transmit and receive no orders. Users must not rely on the Service as a substitute for regulated advice.
23. INTELLECTUAL-PROPERTY COMPLAINTS
If you believe content on the Service infringes your intellectual-property rights, send a notice to legal@theconfluence.show including: identification of the protected work; identification and location of the allegedly infringing material; your contact details; a good-faith statement that the use is unauthorised; a statement, made under penalty of perjury, that the notice is accurate and that you are the rights holder or authorised to act; and your physical or electronic signature. We will review, and where appropriate remove or disable access to, the material, and may forward the notice to the poster. Counter-notices may be sent to the same address. We may terminate the accounts of repeat infringers.
24. ELECTRONIC COMMUNICATIONS
You consent to receive contracts, notices, disclosures, invoices and other communications from us electronically, by email or in-product message, and agree that electronic communications satisfy any legal requirement that a communication be in writing. You may withdraw this consent by closing your account. You are responsible for keeping your registered email address current; a notice sent to your registered address is effective even if you do not receive it because the address is out of date.
25. CHANGES TO THESE TERMS
We may amend these Terms from time to time. Material changes will be notified (e.g. by email or in-product notice) at least 14 days before they take effect. Continued use after the effective date constitutes acceptance; if you do not agree, cancel before the changes take effect.
26. GOVERNING LAW & DISPUTES
These Terms and any dispute or claim arising out of them are governed by the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction, except where mandatory consumer-protection law of your country of residence provides otherwise.
If any provision is held invalid, the remainder remains in effect. These Terms, the Privacy Policy and the Refunds Policy are the entire agreement between you and TRUDO regarding the Service.
